Welcome to VisionSoft Cloud. By accessing this website (visionsoft.cloud), engaging our agency for Web Development, Software/ERP Engineering, AI Solutions, SEO/Digital Marketing, or enrolling in our Training & Internship programs, you agree to abide by the following Terms & Conditions.

1. Scope of Services & Project Proposals

Every commercial project undertaken by VisionSoft Cloud is governed by a written Project Proposal or Statement of Work (SOW) specifying deliverables, technology stack, milestones, and timelines. Any additional features requested outside the approved scope will be estimated and billed separately via a change request.

2. Payment Milestones & Invoicing

• Web, Software & AI Development: Unless otherwise agreed in writing, projects follow a milestone structure: 40% advance mobilization payment upon project kick-off, 30% upon staging/prototype review, and 30% prior to final production deployment and source code handover.
• Digital Marketing & SEO Retainers: Monthly retainers are billed in advance at the start of each 30-day billing cycle. Advertising media budgets (Google Ads, Meta Ads) are paid directly by the client to the respective ad platforms.
• Third-Party Costs: Domain registration renewals, third-party cloud hosting (AWS/VPS), paid API tokens (OpenAI, WhatsApp Cloud API), and payment gateway transaction fees are borne by the client unless explicitly bundled in the package.

3. Intellectual Property (IP) & Source Code Ownership

Upon full and final settlement of all project invoices, the client receives 100% ownership rights to the custom website design, database records, and custom application code developed specifically for their project. VisionSoft Cloud retains the right to showcase the completed project in our portfolio unless a strict NDA prohibits public attribution.

4. Client Responsibilities & Timely Feedback

Project delivery timelines depend on timely provision of required business content, logos, domain/hosting access, and stage approvals by the client. Delays exceeding 14 days in client feedback may result in adjusted delivery schedules.

5. Training & Internship Program Terms

• Students enrolled in the AI Engineer or Full Stack Development Training & Internship program must maintain a minimum of 80% attendance and complete assigned practical coding modules and live project tasks to qualify for the Industrial Internship Experience Certificate.
• Sharing proprietary client codebases or internal company credentials outside the training environment is strictly prohibited.

6. Warranties & Limitation of Liability

VisionSoft Cloud provides complimentary post-launch bug-fix warranty support (ranging from 3 to 12 months based on your selected tier). However, we shall not be held liable for downtime caused by third-party hosting outages, unauthorized code modifications made by external parties, or changes in third-party search engine/social media algorithms.

7. Governing Law & Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to our services shall be subject to the exclusive jurisdiction of the courts located in Vaishali / Patna, Bihar, India.
